Fast and secure verification. With ID-Austria support, you can easily enter your data and also view the General Terms and Conditions as well as the offer for online GmbH formation from PHH. Once you have accepted the terms and the offer, we will receive the form data. While PHH checks your entries, you can already start designing your formation documents. Our goal: completion of the review of your data within 1 working day.

Check your desired name. We ensure that your chosen company name does not violate any legal requirements and is not already registered in the commercial register.

Define Shareholders and Shares
Clarity and structure. Define all shareholders with their respective shares and keep track of the planned ownership structure.

Invite Shareholders for ID/KYC Check and Contract Review
Teamwork made easy. Invite all your co-shareholders to review and finalize the contract contents you have defined together.
PHH lawyers, as an Austrian law firm, are legally required to conduct a complete ID/KYC check (see point 1.) for your co-shareholders as well.

Expert Consultation for Finalization
Professional support. If desired, book a personal/online meeting with an experienced lawyer from PHH to finalize your formation documents and answer any questions. A 30-minute conversation is included in the flat rate package price.

Schedule Notary Appointment
Digital or local. Use the offer of virtual notary appointments via Notarity© for a fully digital GmbH formation at attractive prices. Alternatively, you can choose your own notary and provide us with their details. For the notary appointment, we will then prepare the formation documentation in coordination with the respective notary office.

Account for Capital Contribution
Fast and direct. Shareholders can also transfer their capital contribution to a trust account of the notarizing notary (this can be specified upon defining the contract contents - see point 4.). This transfer can take place almost simultaneously with the notary appointment. Alternatively, a business account for the GmbH can be opened at an Austrian bank or a branch of a bank based in the EU.

Commercial Register Registration
Final sprint to formation. As soon as we have all the documents required for the formation, we will take care of the application for the registration of your GmbH in the Austrian commercial register.
Take advantage of the exemption from duties and fees under the New Company Formation Promotion Act (NeuFöG). Note: already with the application for registration of your GmbH, the approved form from the authority ("NeuFö2") must be submitted to save the court fees for registration.
