Share Capital Contribution

Fast and direct. Shareholders can also transfer their capital contribution to a trust account of the notarizing notary (this can be specified upon defining the contract contents - see point 4.). This transfer can take place almost simultaneously with the notary appointment, but increases the notary's fees typically by approx. € 200 (net). Alternatively, a business account for the FlexCo can be opened at an Austrian bank or a branch of a bank based in the EU.

Commercial Register Registration

Final sprint to formation. As soon as we have all the documents required for the formation, we will take care of the application for the registration of your FlexCo in the Austrian commercial register. Take advantage of the exemption from duties and fees under the New Company Formation Promotion Act (NeuFöG). Note: already with the application for registration of your FlexCo, the approved form from the authority ("NeuFö2") must be submitted to save the court fees for registration. Approx. €400 (or free under NeuFöG)

Answers to the most important questions about incorporating your FlexCo

Establishing a FlexCo usually takes 2 to 8 weeks (major time factors are consultations, scheduling of appointments, drafting the agreements, receipt of register excerpts for foreing corporate-shareholders and the opening of a bank account). With FirmaDigital, you can speed up the process, since all documents are prepared digitally and sent directly to the notary. The opening of a bank account may be postponed after the incorporation, if the share captial contributions are made to an escrow account of the involved notary (based on our ID/KYC Checks, we have all KYC documents ready for the opening of an escrow account by the notary on the day of signing the incorporation documents).

Yes, a single-member FlexCo is possible. You can act as the sole shareholder and managing director. However, the services available at FirmaDigital aim to support more complex incorporations with several co-founders.

The company name must meet certain requirements: In particular, it must not already be taken, include the suffix “FlexCo” (in various permissible forms) and shall not be misleading. With FirmaDigital, you can check the availability of your desired company name directly and receive suggestions for alternatives, if the name is already taken. In a final step, experienced lawyers at PHH will assess the registrability of the company name.

A FlexCo is particularly suitable for businesses with higher liability risks (due to the limited liability of shareholders with their share capital contribution), multiple shareholders (which shall not automatically also be managing directors), and scalabilty. The limited liability protects your personal assets.
